Our firm counsels businesses and individuals regarding different forms of business acquisitions such as mergers or the purchase of shares or assets. Our attorneys advise on the key decision whether an acquisition should be structured as an asset or stock purchase transaction and discusses corporate, tax and practical considerations with our clients. After the decision has been made, we prepare and negotiate key documents in complex M&A transactions for sellers or buyers of businesses.

We offer advice in the early stage of a deal with drafting confidentiality agreements, term sheets and letter of intents. Once this initial phase has been completed, we conduct legal due diligence, negotiate and draft transaction documents, financing documents, arrange for novation of existing agreements and obtaining regulatory approvals from local, state and federal agencies. Our firm advises investors and management teams on management buyouts, spin-offs and on buyouts involving domestic and foreign financial as well as strategic investors.

During this process we  interact with franchisors, accounting firms, investment bankers, business brokers, landlords and business valuation companies. We have advised numerous local businesses in growing their business through acquisitions and understand the nature of the deal as well as the expectations on both sides of the transaction.

Counseling Investors on Cross-Border Acquisitions

Moreover, our firm advises foreign strategic and financial investors on complex cross-border merger and acquisitions involving U.S. target companies. As such we advise companies on the various statutes and regulations that impact foreign direct investment in the United States. 

At the same time, our global outreach and network enables us to advise domestic strategic or financial investors on the acquisition of companies in Europe.
